Jeffrey has extensive experience assisting companies in their capital-raising activities, including public offerings of equity and debt securities, private placements and registered direct offerings. He regularly counsels public companies in preparation of 1933 and 1934 Act filings and exchange rule compliance matters.
Jeffrey also represents clients in SEC investigations and provides counsel on compliance and regulatory and corporate governance matters, including investigations on behalf of public companies or their audit committees, FINRA and Exchange proceedings and in Exchange delisting hearings.
Jeffrey represents China companies on their outbound investments and mergers and acquisitions in the United States. He has advised Chinese strategic buyers (operating companies) and private equity funds in their acquisitions of chemical, pharmaceutical and machinery companies in the United States. Jeffrey has also advised Chinese companies on corporate laws, including formation of new companies and establishment of joint ventures in the United States. In addition, he has advised U.S. companies on Chinese corporate and foreign investment laws, such as stock acquisition of Chinese companies, and has assisted in patent litigation and licensing in China.
Jeffrey also advises clients on regulatory and compliance issues in the U.S. regarding block-chain and cryptocurrency trading platform matters.
Prior to joining Garvey Schubert Barer, Jeffrey practiced with an international law firm in Washington, D.C. for 12 years.
Jeffrey clerked for the Honorable Robert Fairchild of the Seventh Judicial District, Douglas County, Kansas, and the Honorable Luyin Yang of Yangpu District Court in Shanghai.
