Stephen Connolly is Managing Director of the firm's Portland office.
Mr. Connolly represents publicly and privately held businesses in a wide variety of corporate and commercial matters. He has extensive experience in structuring business entities, including partnerships, limited partnerships, limited liability companies, joint ventures and corporations, as well as addressing related corporate finance and governance issues.
He provides ongoing representation to clients in all aspects of business, including negotiating and drafting distributor and sales representative agreements, confidentiality and nondisclosure agreements, shareholder agreements, license agreements, equipment leases, financing and secured transaction documents, executive employment contracts and consulting agreements.
Mr. Connolly has far-reaching experience in evaluating and structuring mergers and acquisitions, including negotiating and drafting letters of intent; purchase/sale agreements; merger agreements; undertaking due diligence review; and preparing security agreements, noncompetition agreements and related acquisition documents.
Mr. Connolly represents developers, builders, investors and corporate clients in a wide variety of real estate matters. He provides legal advice in structuring real estate entities and has significant experience in negotiating and drafting purchase and sale agreements, option agreements, exchange agreements, real estate finance documents, construction contracts, commercial leases, and operating/management agreements.
